I think Melissa's comment about the NOLO book is excellent.  But I did have a 
very friendly and constructive lawyer help me do the form 1023 for my 
company.  I found him through an org here in Chicago called Lawyers for the 
Creative Arts, which provides great seminars and free legal advice to 
not-for-profits.  I know there's a similar organization in NYC; check and see 
if there's one in your area.
